Former BAA General Manager clarifies process for security contracts

By Zoila Palma:  Former General Manager of the Belize Airports Authority (BAA), Thea Garcia Ramirez issued a statement clarifying the process for the security contracts.

“I was employed by the Belize Airports Authority (BAA), a statutory body, as its General Manager from January 2021 until 11 February 2025 when I offered my resignation and it was accepted, effective immediately. The Belize Airports Authority Act CAP 238 of the Substantive Laws of Belize Revised Edition 2000 provides for, in Part III section 5(3), the establishment of three ex-officio directors – these are the Financial Secretary, CEO, Civil Aviation and the General Manager of the BAA. It further establishes that of these three, only the Financial Secretary has voting rights. In Part II section 12(2) the BAA Act confirms that “All documents, other than those required by law to be under seal, made by, and all decisions of, the Board may be signified under the hand of the Chairman, or any director authorized to act in that behalf or the secretary,” Garcia Ramirez explained.

In addition, Garcia Ramirez explained that her position on the Board of Directors was that of a non-voting member.

“I also wish to state in no uncertain terms that I did not sign any contracts for security services on behalf of the BAA and that I have never held the authority to do so.

My concerns in relation to the security contracts have been documented in writing and addressed directly to the Board of Directors of the BAA. They have also been documented in minutes of meetings. I was asked during a sick day to revise draft contracts. I did so and duly sent in my recommendations. I also took that opportunity to again advise that the documents needed to be vetted properly by an attorney in the best interests of the BAA,” she added.

Garcia- Ramirez says that she expressed her opinions, recommendations and concerns on many matters over the years.

“It was my duty to report to and carry out the decisions of the Board of Directors, on which I had no vote. I did my best to advise, but the decisions of the Board of Directors were made exclusively by the voting members,” she further explained.
